Doug Tedder - So...What's the Deal with VeriSM?**

**Anurag Bahal - Pragmatic Transition Service Agreements (TSA) in Mergers and Acquisitions**

A TSA is a legal agreement, separate from the purchase agreement, in which the buyer agrees to pay the seller for certain (formerly internal) services, which the seller will continue to provide or will procure, to support the divested business for a defined period of time. Transparency into data, IT assets, IT Services and processes?before, during, and after divestiture enables pragmatic TSAs.

IT Service Management principles help define the IT services, their service levels and KPIs that are included in the TSA. During this session, you will learn applying IT Service management principles for drafting IT infrastructure and application services for TSA's in a M&A transaction. This will be illustrated through practical examples of a real world business transactions. By applying IT Service Management principles, buyer and sellers can mitigate financial and legal risks.
